Welcome to THRIVE. These Terms of Service ("Terms") govern your use of the THRIVE mobile app, the THRIVE web experience, and the admin dashboard (collectively, the "Service"), operated by BLK Men in Tech Inc., a 501(c)(3) non-profit organization ("BMiT," "we," or "us"). By creating an account or using the Service, you agree to these Terms.
You must be at least 13 years old to use THRIVE. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using THRIVE you represent that you have the legal capacity to enter into this agreement and that you are not barred from using the Service under applicable law.
THRIVE is a community platform and civility is essential. You agree not to use the Service to:
We may remove content and suspend or terminate accounts that violate these rules at our sole discretion.
You retain ownership of the content you post (profile info, messages, posts, photos, etc.). By posting content on THRIVE, you grant BMiT a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and distribute that content within the Service for the purpose of operating and improving it. This license ends when you delete your content, except to the extent required for backups, legal obligations, or to remove access across distributed systems.
You are solely responsible for your content and must have the rights to share anything you upload.
THRIVE is a multi-tenant platform. Each organization on THRIVE operates its own community space. If you are a member of an organization, that organization's admins can moderate content, manage membership, and enforce additional policies within their space. BMiT is not responsible for the actions or policies of individual organizations beyond what is required by these Terms.
The THRIVE name, logo, software, and original content are owned by BMiT and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. Nothing in these Terms transfers any ownership or grants you a broader license.
THRIVE integrates with third-party services such as Supabase, Cloudflare, Zeffy, Stripe, AWS SES, Resend, Expo, and OpenRouter. Your use of those services may be subject to their own terms. We are not responsible for third-party services' availability, accuracy, or content.
You may delete your account at any time from Settings. We may suspend or terminate your access to THRIVE if you violate these Terms, if we are required to do so by law, or if continuing to provide the Service to you becomes commercially unfeasible. Upon termination, your right to use the Service ends immediately.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BMIT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, BMIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. BMIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.
You agree to defend, indemnify, and hold harmless BMiT and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms.
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules.
Binding Arbitration. Except for disputes that qualify for small claims court, you and BMiT agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be held in Fulton County, Georgia, or conducted by video/telephone, and judgment on the award may be entered in any court with jurisdiction. You and BMiT each waive the right to a trial by jury.
Class Action Waiver.You and BMiT agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding.
30-Day Right to Opt Out. You may opt out of this arbitration agreement and class action waiver by emailing info@blkmenintech.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms. If you do not opt out, any dispute not subject to arbitration will be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.
We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on THRIVE infringes a copyright you own or control, send a written notice to our designated agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material that is claimed to be infringing and its location on the Service; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf.

We will remove or disable access to material we determine to be infringing and will terminate, in appropriate circumstances, the accounts of users who are repeat infringers. If you believe your content was removed in error, you may submit a counter-notification to the same agent.
We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before they take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them.
